NHAI projects now recognised as public InvITs: SEBI

29 Dec 2025

SEBI has approved road infrastructure projects developed by the National Highways Authority of India (NHAI) for classification as public Infrastructure Investment Trusts (InvITs).

With this approval, NHAI-sponsored Raajmarg Infra Investment Trust (RIIT) now qualifies as a public InvIT. This change allows individual investors, including retail investors, to invest directly in NHAI road projects through InvITs.

Earlier, InvITs largely followed a private structure dominated by institutional investors. In contrast, RIIT adopts a public InvIT structure that primarily targets retail and domestic investors. This move aligns with the regulator’s broader objective of expanding household participation in infrastructure assets beyond traditional equity and debt instruments.

For distributors and financial advisors, RIIT adds a new alternative investment option that offers predictable cash flows along with exposure to India’s core infrastructure growth story.

NHAI Chairman, Santosh Kumar Yadav said, “The SEBI approval for RIIT represents a significant milestone in expanding public participation in India’s National Highway infrastructure growth. The senior leadership team at Raajmarg Infra Investment Managers Private Limited (RIIMPL) comprises highly experienced and accomplished professionals, well positioned to take this initiative forward and create meaningful long-term investment opportunities for the public. This development represents an important step towards achieving NHAI’s asset monetization objectives while further strengthening country’s National Highway network.”
